License and Access
Scope of use
Subject to a valid order, subscription, or other written agreement, Naval SCM grants the customer a limited, non-exclusive, non-transferable, revocable right to access and use Naval SCM for the customer's internal business operations.
Access may be provided to authorized employees, contractors, or supplier users acting on the customer's behalf, so long as those users comply with this agreement and any customer-specific restrictions.
Ownership and Restrictions
Customer data and service protections
As between the parties, the customer retains ownership of customer data submitted to, transmitted through, or generated from the customer's use of the service. Naval SCM retains ownership of the software, platform, documentation, and all related intellectual property rights.
- No reverse engineering: except where prohibited by law, the customer may not reverse engineer, decompile, disassemble, or attempt to derive source code from the service.
- No misuse: the customer may not use the service to build a competing product, copy product features in a misleading way, or perform unauthorized benchmarking for public disclosure.
- No circumvention: the customer may not bypass access controls, rate limits, or security protections.
Support, Availability, and Fees
Commercial and operational terms
Support and service availability are provided subject to the customer's subscription, ordering documents, or other written commercial terms. Unless otherwise agreed in writing, response times, uptime targets, onboarding assistance, and similar service commitments are informational rather than guaranteed.
Subscription fees, billing schedules, taxes, payment terms, and any usage limitations should be described in the applicable order form, marketplace listing, or other commercial agreement. Fees and Payment: Access to Naval SCM may be subject to subscription fees as agreed between Naval SCM LLC and the customer. Payment terms, billing cycles, and pricing are defined in the applicable agreement or order form.
Termination and Disclaimers
Ending use, warranties, and liability
Either party may suspend or terminate access as permitted under the applicable commercial agreement, including for material breach, non-payment, security concerns, or the end of a subscription term. Upon termination, access may be disabled and data handling should follow the agreed retention or return process.
Except as expressly stated in a written agreement, Naval SCM is provided on an "as is" and "as available" basis. Naval SCM disclaims implied warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the extent permitted by law.
To the extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, or data. Direct damages should be limited under the applicable commercial agreement or marketplace terms. Governing Law: This Agreement is governed by the laws of the State of Kansas, without regard to its conflict of law principles.
